Article 1 - General provisions and organiser

1.1. These competition terms and conditions (hereinafter the "Terms") apply to the promotional campaign "Share Your DIY Problem & Win €250!" (hereinafter the "Campaign").

1.2. The Campaign is organised by:

Hereinafter referred to as "Batavia" or the "Organiser".

1.3. The Campaign is organised to promote Batavia and to gain insight into problems, frustrations and challenges consumers experience when carrying out DIY tasks.

1.4. The Campaign comprises two stages:

  • Stage 1: Submission of DIY problems and selection of four finalists by Batavia's Research & Development (R&D) department.
  • Stage 2: A public vote through Batavia's official social media channels, in which consumers determine which selected DIY problem wins the competition.

1.5. By participating in the Campaign, participants declare that they have read and agree to these Terms.

1.6. The Campaign is entirely independent of Instagram, Facebook, Meta and any other social media platforms involved, and is not sponsored, administered or supported by those parties.

Article 2 - Purpose of the Campaign

2.1. Batavia invites consumers to describe a problem, frustration or challenge they experience when carrying out DIY tasks.

2.2. The aim is to obtain insight into real-life situations in which existing tools, products or working methods do not function optimally, or in which consumers need a better solution.

2.3. Batavia expressly requests submissions of DIY problems only, and does not ask participants to devise, design or develop new products, inventions or solutions.

2.4. Submitted DIY problems may be used by Batavia as inspiration and input for research, product development, improvements to existing products and the development of new commercial innovations.

2.5. Batavia is under no obligation to actually solve a submitted problem, develop a product or bring an innovation to market.

2.6. If a participant nevertheless voluntarily submits a solution, product idea, design, invention or other concept, the provisions of these Terms, in particular Article 8, also apply to it.

Article 3 - Campaign period and participation

3.1. The Campaign runs from 12 October 2026 through 26 October 2026, inclusive.

3.2. Submissions may be made until 23 October 2026 at 12:59 p.m. Netherlands local time, inclusive.

3.3. Participation is open to natural persons aged 18 or over who have a permanent home or place of residence in the Netherlands.

3.4. Participation is free. No purchase is necessary. Any normal internet or data charges are borne by the participant.

3.5. Participation takes place via the official campaign page or the entry form designated by Batavia.

3.6. For a valid entry, the participant must:

  • Describe a DIY problem;
  • Provide a valid email address;
  • Correctly complete the requested entry details;
  • Agree to these Terms.

3.7. A participant may submit several different DIY problems. Each valid entry may be assessed separately. Each participant may win no more than one prize.

3.8. Batavia may disqualify entries that are incomplete, misleading, unlawful, offensive, fraudulent or contrary to these Terms.

3.9. Batavia employees and persons directly involved in organising, judging or conducting the Campaign are excluded from participation.

3.10. Batavia reserves the right to verify a participant's identity and age where necessary to administer the Campaign.

Article 4 - Selection of the top four by Batavia R&D

4.1. After Stage 1 ends, all valid DIY problem submissions will be evaluated by Batavia's Research & Development (R&D) department.

4.2. The R&D department will select four DIY problems that, in its professional judgement, are the most relevant, interesting or valuable for potential future product developments and innovations.

4.3. This assessment may consider, among other things:

  • How recognisable and relevant the DIY problem is;
  • The extent to which other consumers may experience the same problem;
  • The problem's practical impact;
  • Its relevance to Batavia's product range and expertise;
  • Its innovation potential and the possible technical feasibility of future solutions.

4.4. Selection is based on the DIY problem described. Any solutions or product ideas voluntarily submitted alongside it need not be considered during the assessment.

4.5. On the basis of these criteria, the R&D department determines which four entries proceed to the public vote.

4.6. The four selected entries are hereinafter referred to as the "Finalists".

4.7. Selection as a Finalist does not automatically entitle a participant to a prize, financial compensation, collaboration or involvement in future product development.

4.8. Participants have no entitlement to a place in the top four. Batavia is not required to disclose internal assessments, research data or individual evaluation reports.

Article 5 - Public vote and winner

5.1. After Stage 1, the four DIY problems selected by Batavia R&D will be presented to the public through Batavia's official social media channels.

5.2. Consumers will be invited to vote for the DIY problem they find most interesting and would most like to see solved.

5.3. The official voting period and voting method will be announced in advance of the public vote through Batavia's communication channels.

5.4. The public vote will take place through the voting feature or official voting channel designated by Batavia.

5.5. Each eligible voter may cast no more than one valid vote, insofar as this can be technically verified using the chosen voting method. The exact voting rules will be published in advance.

5.6. The DIY problem receiving the most valid votes at the end of the voting period will be designated the winning DIY problem.

5.7. The original participant who submitted the winning DIY problem will be designated the winner of the Campaign.

5.8. In the event of a tie between two or more Finalists, the winner will be determined by an independent and impartial draw among those Finalists.

5.9. Batavia may invalidate demonstrably fraudulent, automated or manipulated votes in accordance with objective control rules published in advance.

5.10. Batavia will verify the voting results and record the method by which the winner was selected.

5.11. The winner will be contacted personally by email no later than 14 days after the end of the public vote.

5.12. If the winner does not respond within 14 days after the email is sent, the prize may be offered to the next eligible Finalist, based on the number of valid votes.

5.13. The outcome of the public vote is used solely to determine the winner of the Campaign.

5.14. The outcome does not in any way oblige Batavia to actually solve the winning DIY problem or develop a product.

5.15. Irrespective of the outcome, Batavia retains the freedom to determine independently which submitted problems, if any, to investigate and which products or innovations to develop.

Article 6 - Prize

6.1. The winner will receive one voucher for the official Batavia Store with a total value of €250, including VAT.

6.2. The total value of the prize package is €250.

6.3. The voucher may only be redeemed at the official Batavia Store through the sales channel designated by Batavia.

6.4. The voucher cannot be exchanged for cash.

6.5. The applicable period of validity and terms of use will be clearly communicated to the winner when the prize is awarded and must comply with applicable law.

6.6. The prize is personal and may only be transferred with Batavia's prior consent, to the extent permitted by law.

6.7. Any gambling tax due will be dealt with in accordance with applicable Dutch law.

6.8. The voucher is the only prize awarded to the winner.

6.9. Winning the Campaign does not confer any entitlement to additional payments, royalties, profit shares, licence fees, ownership rights or other commercial benefits in connection with any future Batavia innovations.

Article 7 - Use of submitted DIY problems

7.1. By participating, the participant agrees that Batavia may use the submitted information for research, development, innovation, marketing and commercial purposes, in accordance with these Terms and applicable law.

7.2. Such use includes, but is not limited to:

  • Investigating and analysing submitted DIY problems;
  • Combining problems with other entries, knowledge and research findings;
  • Developing and improving products, tools and technologies;
  • Sharing relevant information with employees, developers, manufacturers and business partners;
  • Developing, producing, having produced, offering, selling and distributing new products or solutions;
  • Commercially exploiting innovations developed by Batavia.

7.3. The participant acknowledges that merely describing a DIY problem does not create an intellectual property right in a potential solution to that problem.

7.4. All intellectual property rights in products, designs, technologies and innovations independently developed by Batavia belong, to the extent permitted by law, to Batavia or its designated rights holders.

7.5. This also applies where an innovation developed by Batavia was inspired by one or more submitted DIY problems.

7.6. Merely by submitting a DIY problem, the participant acquires no claim to:

  • Ownership or co-ownership of new products;
  • Patent rights or other intellectual property rights in innovations independently developed by Batavia;
  • Royalties or licence fees;
  • A share of revenue or profits;
  • Compensation for use of the problem described;
  • Participation in product development processes;
  • A commercial collaboration with Batavia.

7.7. The above provisions apply to all participants, regardless of whether their entry reaches the top four or wins the public vote.

Article 8 - Voluntarily submitted solutions, ideas and designs

8.1 - No request for solutions

Batavia emphasises that the Campaign is intended solely to collect DIY problems.

Batavia does not request fully developed product ideas, technical designs, inventions, prototypes or other specific solutions.

If participants nevertheless voluntarily submit such information, they do so on their own initiative.

8.2 - Broad licence to use

By voluntarily submitting an idea, solution, design, sketch, product concept or other creative or technical information, the participant grants Batavia, insofar as the participant is authorised to grant the relevant rights, a licence which is:

  • Worldwide;
  • Royalty-free;
  • Non-exclusive;
  • Transferable;
  • Sublicensable;
  • Valid for the full statutory term of protection.

The licence applies to intellectual property rights subsisting in the entry, insofar as those rights can be licensed.

To the extent permitted by law, the licence includes the right to use, reproduce, edit, modify, improve, combine, publish, integrate, further develop and commercially exploit the entry, in whole or in part.

Batavia may use the entry to design, produce, have produced, market, sell and distribute products.

Batavia may also exercise these rights through or in cooperation with third parties, including business partners, external developers, manufacturers and distributors.

8.3 - No additional permission

For uses covered by the licence granted under Article 8.2, Batavia is not required to request fresh permission from the participant for each individual application.

8.4 - No compensation or royalties

To the extent permitted by law, Batavia owes no payment, royalty, licence fee, share of profits or other financial compensation for use covered by the rights granted.

This also applies where:

  • Batavia uses a submitted idea in whole or in part;
  • Batavia further develops or improves an idea;
  • Batavia develops a product based on a voluntarily submitted solution;
  • Batavia commercially exploits such a product;
  • Batavia generates revenue or profit from such an innovation.

8.5 - No entitlement to ownership or collaboration

Submission of an idea, solution or design does not automatically entitle the participant to co-ownership of products developed by Batavia or involvement in development activities.

Participation in the Campaign does not create an employment relationship, development agreement, partnership or other business collaboration.

8.6 - Existing intellectual property rights

Any pre-existing intellectual property rights of the participant remain in existence insofar as they have not been lawfully transferred.

For rights whose transfer legally requires a separate deed, registration or other legal act, participation in this Campaign does not effect an automatic transfer of ownership.

The licence applies only to rights over which the participant is authorised to dispose.

8.7 - Moral rights

To the extent permitted by law and insofar as required by the nature of the entry, the participant agrees that Batavia may use the entry without crediting the participant by name and may make editorial or technical changes to it.

To the extent that particular moral rights may legally be waived, the participant waives those rights in relation to the permitted use described in these Terms.

Rights which cannot be waived under mandatory law remain unaffected.

8.8 - No obligation to use

Batavia is under no obligation to actually use, investigate or further develop submitted ideas, solutions or designs.

Batavia may independently decide not to use an entry.

Article 9 - Pre-existing and independently developed innovations

9.1. The participant acknowledges that Batavia may have conducted independent research into identical or similar problems, products, technologies and solutions before receiving the entry.

9.2. Batavia may already have its own designs, prototypes, research findings, technical solutions or development projects which wholly or partly resemble an entry.

9.3. Different participants may also submit identical or similar DIY problems or ideas.

9.4. Batavia therefore reserves the right to develop similar or competing products and solutions independently of the entries, provided this does not infringe applicable rights.

9.5. Similarity between a submitted idea and a product developed by Batavia does not in itself constitute proof of unauthorised use of the entry.

9.6. Merely submitting a problem or idea does not grant a participant exclusivity in respect of Batavia's future innovations.

9.7. Batavia is not required to keep participants informed about development projects or commercial activities which may relate to submitted DIY problems.

9.8. Batavia may combine information from several entries with existing knowledge and its own research findings.

9.9. All intellectual property rights in Batavia's own independent contributions and developments belong, to the extent permitted by law, to Batavia or its designated rights holders.

Article 10 - Liability, warranties and indemnification

10.1 - Acceptance of terms of use

By participating, the participant acknowledges that Batavia may use the submitted information within the scope of the rights granted and these Terms.

10.2 - No additional claims for authorised use

To the extent permitted by law, the participant may not make additional financial claims against Batavia solely because Batavia:

  • Investigates or solves a submitted DIY problem;
  • Develops a similar product;
  • Uses a voluntarily submitted idea within the rights granted;
  • Brings an innovation to market;
  • Commercially exploits a product;
  • Does not enter into a commercial collaboration with the participant.

10.3 - Limitation of liability

To the extent permitted by law, Batavia is not liable for damage or expectations arising solely from the non-selection, non-use, non-development or lawful commercial application of an entry.

10.4 - Participant's warranty

The participant represents that:

  • The entry may lawfully be shared;
  • The participant is authorised to grant the rights of use described;
  • To the participant's knowledge, the entry does not infringe third-party rights;
  • No confidential or protected information of third parties is submitted without permission.

10.5 - Indemnification

To the extent permitted by law and insofar as the participant is legally responsible, the participant indemnifies Batavia against substantiated third-party claims arising directly from the unauthorised submission of the entry or the unauthorised granting of rights to it.

This indemnity applies only to losses and costs reasonably attributable to the relevant breach by the participant.

10.6 - Technical failures

To the extent permitted by law, Batavia is not liable for technical failures, delays or interruptions that prevent participation in the Campaign and are beyond its reasonable control.

10.7 - Statutory exceptions

Nothing in these Terms excludes liability for wilful misconduct or deliberate recklessness on the part of Batavia's management, or any other liability which cannot be excluded or limited under mandatory law.

Article 11 - Confidentiality

11.1. Entries are not provided to Batavia under a non-disclosure agreement.

11.2. Batavia does not accept information under this Campaign on the condition that it will remain confidential or be used solely internally.

11.3. Participants are expressly requested not to submit trade secrets, unpublished inventions, patent-sensitive information or confidential technical documentation.

11.4. Batavia has no contractual obligation of confidentiality with respect to lawfully received entries, unless the parties have separately agreed otherwise in writing or a statutory obligation applies.

11.5. The participant acknowledges that disclosure of technical information may affect the protection of potential inventions.

Article 12 - Publication, marketing and communications

12.1. Batavia may use submitted DIY problems for communications and promotion relating to the Campaign.

12.2. This includes publishing selected DIY problems through social media, Batavia's website and other communication channels.

12.3. Batavia may summarise, shorten or editorially modify problem descriptions, provided that the core of the problem described is not materially altered.

12.4. In principle, the four Finalists will be presented without their full names or other directly identifying personal data.

12.5. Batavia may ask participants to take part in additional promotional activities, but such participation is voluntary.

12.6. Before publishing a participant's name, photo, voice or other identifiable personal data, Batavia will ensure an appropriate legal basis and, where required, separate consent.

12.7. Refusal to consent to additional promotional activities will not affect the validity of participation or entitlement to the prize won.

Article 13 - Personal data and privacy

13.1. Batavia processes personal data in accordance with the General Data Protection Regulation (GDPR).

13.2. Personal data may be processed for:

  • Registering and managing entries;
  • Evaluating entries by Batavia R&D;
  • Contacting Finalists;
  • Organising and monitoring the public vote;
  • Determining and notifying the winner;
  • Awarding the prize;
  • Handling questions and complaints.

13.3. Further information about processing purposes, legal bases, retention periods, recipients and data subject rights is set out in Batavia's privacy policy.

13.5. Participation in the Campaign does not automatically constitute consent to receive commercial newsletters or other direct marketing communications.

Article 14 - Fraud and disqualification

14.1. Batavia may disqualify participants in cases of demonstrable fraud, deception, manipulation or other serious breaches of these Terms.

14.2. The use of bots, scripts, fake accounts or other automated means to influence the result of the public vote is prohibited.

14.3. Batavia may disregard invalid or fraudulent votes on the basis of rules communicated in advance and applied consistently.

14.4. If it subsequently emerges that a winner did not meet the entry conditions or committed fraud, Batavia may revoke the prize, to the extent permitted by law.

14.5. In that event, a replacement winner may be selected in accordance with the procedure in Article 5.

Article 15 - Amendments and unforeseen circumstances

15.1. Batavia reserves the right to amend, suspend or terminate the Campaign early in the event of compelling circumstances, to the extent permitted by law.

15.2. Amendments will be announced through Batavia's official communication channels.

15.3. These Terms will not be amended to the detriment of participants during the Campaign.

15.4. If any provision of these Terms is wholly or partially invalid or unenforceable, the remaining provisions will remain in force insofar as legally possible.

15.5. In circumstances not covered by these Terms, Batavia will adopt a reasonable solution in compliance with applicable law.

Article 16 - Applicable law and complaints

16.1. The Campaign and these Terms are governed by Dutch law, without prejudice to any applicable mandatory consumer protection.

16.2. Disputes will be submitted to the court having jurisdiction under the law.

16.3. Questions and complaints concerning the Campaign may be submitted in writing to Batavia at info@batavia.eu.

16.4. Batavia will handle complaints with due care and inform the complainant of the outcome within a reasonable period.

16.5. The Campaign is organised in compliance with the applicable provisions of the Dutch Code of Conduct for Promotional Games of Chance.

Article 17 - Precedence of Terms and acceptance

17.1. These Terms govern the Campaign and prevail over any differing or incomplete information in promotional materials, to the extent permitted by law.

17.2. By participating, the participant declares that they have read and agree to these Terms.

17.3. In particular, the participant confirms that:

  • Batavia requests DIY problems only, not fully developed solutions;
  • Batavia may use the information submitted for its own research, development and commercial innovations within the rights of use described;
  • Batavia may use voluntarily submitted ideas and solutions within the licence granted under Article 8;
  • Submission alone confers no claim to ownership of products independently developed by Batavia;
  • No additional compensation, royalties or profit shares are owed for authorised use, except where rights cannot be excluded by law;
  • Batavia may independently decide which products or solutions to develop;
  • The prize consists solely of the Batavia Store voucher worth €250.

17.4. Merely submitting a DIY problem, idea or solution does not create any entitlement to a business collaboration, participation in product development or commercial involvement in future products.
